These Terms of Use ("Terms") are a legal agreement between you and Alessandro Nocentini, an individual developer based in Italy, trading as "Verbamint" (the "Developer", "we", "us"), covering your use of the Verbamint Android application (the "App"). By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App. These Terms should be read together with our Privacy Policy, which explains what data the App processes.
Verbamint records meetings, transcribes the audio, and generates minutes, entirely on your device using on-device AI models. The App has a free tier with daily usage limits and an optional one-time purchase ("Verbamint Pro") that removes those limits, as described in the App and in the Privacy Policy.
By using the App, you represent that you are legally able to enter into this agreement under the law of your country of residence, including meeting any applicable minimum age. Verbamint is not directed to children, and if you are below the minimum age required by your local law to accept these Terms without a parent's or guardian's consent, you may not use the App.
Verbamint is a recording tool. When you record a meeting, call, or any conversation that includes people other than yourself, you, and not the Developer, are solely responsible for complying with all laws that apply to that recording, including laws on wiretapping, eavesdropping, and the recording of private conversations. Depending on where you and the other participants are located, this may require you to:
The Developer does not review, monitor, or have access to your recordings, and has no way to verify that you obtained the necessary consent. You use the App's recording and diarization features entirely at your own risk and under your own legal responsibility.
Transcripts, speaker labels, and meeting minutes are generated automatically by on-device AI models (whisper.cpp, llama.cpp / Gemma, and related components) and can contain errors, omissions, or misattributions, particularly with poor audio quality, background noise, overlapping speech, or uncommon terminology. Do not rely on this AI-generated content as the sole or authoritative record of what was said, and do not use it, without independent verification, as the basis for legal, medical, financial, or other decisions where accuracy matters. You are responsible for reviewing and verifying transcripts and minutes before relying on or sharing them.
Verbamint Pro is a one-time, non-subscription purchase made through Google Play Billing. Billing, payment processing, and refunds are handled by Google under its own terms and policies; the Developer does not process payments or store payment details. Refund requests should be directed to Google Play, subject to any mandatory consumer-protection rights you may have under the law of your country of residence.
The App, including its software, design, and branding, is owned by the Developer and is licensed to you, not sold, solely for your personal or internal use on a compatible device. You retain all rights to the content you create with the App, such as your audio recordings, transcripts, and minutes; the Developer claims no ownership or license over that content, and, consistent with the Privacy Policy, never receives a copy of it.
You agree not to: use the App to record or process a conversation in violation of applicable law or another person's rights; reverse engineer, decompile, or circumvent the App's licensing or anti-piracy mechanisms beyond what is expressly permitted by mandatory law; redistribute, resell, or sublicense the App outside of the distribution channel you obtained it from; or use the App in any way that could damage, disable, or impair its operation or the systems it depends on.
Verbamint runs speech-recognition and language models directly on your device rather than in the cloud. This processing is computationally intensive and will cause the device to warm up, sometimes noticeably, particularly during long recordings and while generating minutes. A degree of warming is normal for this kind of on-device AI processing.
To reduce heat build-up and help protect your device, we recommend that, especially for long recording or processing sessions, you:
Modern smartphones manage their temperature automatically and may slow down, throttle, or pause processing in order to cool off, which is expected. If the device becomes uncomfortably hot to hold, stop recording or processing and allow it to cool before continuing. You are responsible for operating your device safely and in line with your device manufacturer's guidance.
To the maximum extent permitted by applicable law, and as further set out in the disclaimer of warranties and the limitation of liability in Sections 9 and 10, the Developer is not responsible for any overheating, accelerated battery wear, performance throttling, or physical damage to your device or other property that may result from your use of the App.
The App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. The Developer does not warrant that the App will be uninterrupted, error-free, or suitable for any specific purpose, and does not represent that the App meets the requirements of any regulated industry or compliance framework (for example, HIPAA or attorney-client privilege rules). If you use the App in a regulated industry, you remain solely responsible for your own regulatory compliance. Nothing in this section limits any warranty or right that cannot be excluded or limited under the mandatory law of your country of residence.
To the maximum extent permitted by applicable law, the Developer will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of data, profits, or business opportunity, arising out of or related to your use of the App, including any legal consequences you face for recording another person without the required consent. To the extent any liability cannot be excluded under applicable law, the Developer's total liability for all claims relating to the App is limited to the amount you paid for Verbamint Pro, if any, in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot lawfully be limited, such as liability for death, personal injury, or fraud.
To the extent permitted by applicable law, you agree to indemnify and hold the Developer harmless from any claim, liability, damage, or expense (including reasonable legal fees) arising from your use of the App in violation of these Terms or applicable law, including any claim brought by a person you recorded, transcribed, or diarized without the consent or notice required by law.
You may stop using the App at any time by uninstalling it. The Developer may discontinue the App or the backend services described in the Privacy Policy at any time. Because your recordings, transcripts, and minutes are stored only on your device, discontinuing the App or these Terms does not affect your access to data already stored locally, except that uninstalling the App removes it. Sections that by their nature should survive termination, including Sections 9, 10, and 11, remain in effect after your use of the App ends.
These Terms are governed by the laws of Italy, without regard to conflict-of-law principles, and without prejudice to any mandatory consumer-protection rights you have under the law of your country of residence, which continue to apply if more favorable to you. Any dispute not resolved informally may be brought before the competent courts, subject to any mandatory venue rights available to you as a consumer under your local law.
We may update these Terms as the App evolves. Material changes will be reflected by an updated "Last updated" date above; if a change is significant, we will make reasonable efforts to highlight it, for example in the App's release notes. Continued use of the App after a change constitutes acceptance of the revised Terms.
